Rick focuses on corporate governance and transactions, including mergers and acquisitions, capital raising and corporate control contests.
His work often involves counseling boards of directors and board committees, including special committees of directors appointed to negotiate mergers or other significant transactions. Rick also serves as a fellow at B Lab, a non-profit organization dedicated to the promotion of responsible business practices.
Rick has been recognized as one of the 10 most highly regarded corporate governance lawyers worldwide by The International Who’s Who of Corporate Governance Lawyers and selected by The Best Lawyers in America as Delaware Corporate Law Lawyer of the Year and Delaware Mergers & Acquisitions Lawyer of the Year.
